1. Acceptance of Terms

By accessing or using the website ibcrecyclingchicago.com (the "Site") or purchasing products and services from IBC Recycling Chicago ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Site or services. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and IBC Recycling Chicago. We reserve the right to update these Terms at any time, and your continued use of the Site constitutes acceptance of any changes.

2. Services Offered

IBC Recycling Chicago provides the following services, subject to these Terms:

• Sale of used and reconditioned IBC totes in various sizes (275 gallon, 330 gallon, and others as available) and grades (A, B, and C).
• Purchase of used IBC totes from businesses and individuals across the Chicagoland area and the broader Midwest region.
• IBC tote recycling services, including component separation and responsible disposal of end-of-life containers.
• Cleaning and reconditioning services that restore used IBC totes to a serviceable condition.
• Transport and delivery services for IBC tote pickup and delivery within our service area.
• Custom solutions including modifications, specialized configurations, and bulk container systems.

The availability of specific products and services may vary. We reserve the right to modify, suspend, or discontinue any product or service at any time without notice.

3. Product Conditions & Grading

All IBC totes sold by IBC Recycling Chicago are used, reconditioned, or refurbished containers unless explicitly stated otherwise. Products are graded according to our internal grading system:

• Grade A (Like-New): Clean, minimal wear, suitable for food-grade applications when specified. Previous contents were food-safe or pharmaceutical-grade.
• Grade B (Good Condition): Minor cosmetic wear, fully functional, suitable for industrial and agricultural applications. May show light discoloration.
• Grade C (Fair Condition): Visible wear and cosmetic imperfections, functional for non-critical storage and utility applications. Staining and discoloration present.

Grading is performed by our experienced inspection team based on standardized criteria. While we make every effort to accurately grade each container, minor variations within a grade are normal and expected for used products. Product images on our Site are representative and may not depict the exact unit you receive.

4. Pricing and Payment

All prices quoted on the Site or in communications with our team are in U.S. dollars and are subject to change without notice. Quoted prices are valid for thirty (30) days from the date of the quote unless otherwise specified. Prices do not include applicable sales tax, delivery fees, or other charges unless explicitly stated.

Payment terms are determined on a per-customer basis. For new customers, payment is typically required prior to or at the time of pickup or delivery. Established customers may qualify for net payment terms at our discretion. We accept payment by check, wire transfer, ACH, and major credit cards.

For customers selling IBC totes to us, payment will be issued within the timeframe agreed upon at the time of transaction, typically within five (5) to ten (10) business days after inspection and acceptance of the totes at our facility.

5. Orders and Delivery

Orders are confirmed upon receipt of payment or acceptance of payment terms. We will make reasonable efforts to fulfill orders within the estimated timeframe communicated at the time of purchase. However, delivery dates are estimates and not guarantees. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to weather, transportation disruptions, supplier delays, or force majeure events.

Delivery is available within our service area (Chicagoland and the broader Midwest). Delivery fees vary based on distance, quantity, and accessibility of the delivery location. You are responsible for ensuring that the delivery site is accessible by our trucks and that appropriate equipment (forklift, dock, or level ground) is available for unloading. We are not responsible for damage or delays caused by inadequate delivery site conditions.

6. Returns and Refunds

Due to the nature of used and reconditioned products, our return policy is as follows:

• Grade discrepancy: If a delivered tote does not match the purchased grade (e.g., you ordered Grade A and received a Grade B), you must notify us within three (3) business days of delivery. We will replace the tote at no additional charge or issue a refund for the difference.
• Structural defects: If a tote has a structural defect that was not disclosed (e.g., cracks, holes, non-functional valve), notify us within three (3) business days. We will replace the tote or issue a full refund at our discretion.
• Buyer's remorse: Because used IBC totes are bulky specialty items, we do not accept returns for change of mind, incorrect quantity ordering, or dissatisfaction with the cosmetic appearance within the stated grade. Please review our grade descriptions carefully before ordering.
• Used or filled totes: We cannot accept returns on totes that have been filled, modified, or used after delivery.

All return requests must be made in writing by contacting us at info@ibcrecyclingchicago.com. Returns require prior authorization from our team.

8. Limitation of Liability

To the fullest extent permitted by the laws of the State of Illinois:

• IBC Recycling Chicago shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your purchase or use of our products or services, including but not limited to loss of profits, loss of business, property damage, or personal injury.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you for the specific product or service giving rise to the claim.
• We are not responsible for any damage, contamination, or loss caused by improper use, storage, or handling of IBC totes after delivery.
• We are not responsible for ensuring that products comply with your specific industry regulations, standards, or certifications. Compliance is the customer's responsibility.

9. Customer Responsibilities

By purchasing or using our products and services, you agree to:

• Verify that any IBC tote is suitable for your intended application, including chemical compatibility, temperature requirements, and regulatory compliance.
• Inspect all products upon delivery and report any discrepancies within three (3) business days.
• Use, store, handle, and dispose of IBC totes in accordance with all applicable federal, state, and local laws and regulations.
• Not use our products for the storage or transport of hazardous materials unless the container is specifically rated and certified for such use.
• Comply with all applicable OSHA, EPA, DOT, and other regulatory requirements related to the use of bulk containers.
• Provide accurate and truthful information when selling totes to us, including disclosure of previous contents and any known damage or contamination.

10. Intellectual Property

All content on the Site, including text, graphics, logos, images, icons, and software, is the property of IBC Recycling Chicago or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our Site without our prior written consent. The IBC Recycling Chicago name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of IBC Recycling Chicago. You must not use such marks without our prior written permission.

11. Website Use

You agree to use our Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
• Use any automated system, including bots, spiders, or scrapers, to access the Site without our express written permission.
• Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful.
• Submit false, misleading, or fraudulent information through any form on the Site.

12. Indemnification

You agree to indemnify, defend, and hold harmless IBC Recycling Chicago, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of our products or services, your violation of these Terms, your violation of any law or regulation, or your infringement of any rights of a third party. This indemnification obligation survives the termination of these Terms and your use of our Site and services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal action, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies in the courts specified above.

14. Force Majeure

IBC Recycling Chicago shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil disturbance, government actions, labor disputes, supply chain disruptions, transportation failures, or utility outages. In such events, our obligations will be suspended for the duration of the force majeure event.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms agreed upon in writing for specific transactions, constitute the entire agreement between you and IBC Recycling Chicago regarding the use of our Site and services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and IBC Recycling Chicago.
